1. Description of the assets for sale:

The subject of the sale is the assets – the business unit “EMO – ORODJARNA d.o.o.”, which is being sold as a whole and consists of immovable and movable property, as listed and presented below:

1.1. Real Estate

The real estate comprises the business and production complex of the company EMO – ORODJARNA d.o.o., located at Bežigrajska cesta 10, Celje. It consists of the buildings with ID Nos. 1074-1770 and 1074-3785, as well as land plots with the following land register data:

The real estate package also includes a solar power plant (installed on the roofs of the buildings located on plots Nos. 1513/1, 1513/2, and 1429). The solar power plant comprises the complete system (inverter, solar panels, and installations) required for electricity generation. The sale of the solar power plant also includes the transfer of the support contract concluded with the company BORZEN d.o.o. The buyer will assume all rights arising from this contract.

1.2  Movable property and other assets:

• 175 items of various licenses and similar assets, detailed in Annex 1. The insolvency administrator expressly points out that some licenses may not be transferable. However, since the sale concerns the company’s assets as a single package, the buyer will have the opportunity to settle such matters subsequently.

• 5 items of IT control equipment, detailed in Annex 2;

• 387 items of machinery and production equipment, detailed in Annex 3;

• 172 items of IT equipment (computers, security cameras, network equipment, etc.), detailed in Annex 4;

• 58 items of computer equipment, detailed in Annex 5;

• 518 items od small inventory, listed in Annex 6 and

• 1,152 items of furniture, detailed in Annex 7.

Bidders must pay the security deposit of EUR 221,000.00 no later than one working day before the auction to the transaction account of the insolvency debtor No. SI56 6400 0000 0821 795, opened with PHV d.d., indicating “Payment of security deposit – Entirety EMO.”
